New Corporate Email Requirement in Costa Rica

Starting June 4, 2025, Law 10.597 and Directive DPJ-002-2025 come into force, requiring all corporations in Costa Rica to register an official email address for legal notifications.
New corporations
All incorporation deeds must include a valid email address. Omitting it is a registration defect.
Existing corporations
Have until June 4, 2026 to register their email via:
A public deed signed by the legal representative or general attorney, or
A notarized shareholders’ meeting minutes.
This change must be published in La Gaceta.
Resident agent eliminated
This role is now obsolete. Including it will be treated as a registration error.
No taxes or fees
If only the email is being added, no registry fees apply. Other amendments do incur charges.
Important
As of June 5, 2026, the Registry will reject all filings from corporations that fail to comply.
