Nueva Obligación para Sociedades en Costa Rica

A partir del 4 de junio de 2025, entra en vigencia la Ley 10.597 y la Directriz DPJ-002-2025, que obliga a todas las sociedades mercantiles en Costa Rica a registrar un correo electrónico oficial para notificaciones legales.

• Nuevas sociedades

La escritura de constitución deberá incluir un correo electrónico. Su omisión será un defecto registral.

• Sociedades ya inscritas

Tienen plazo hasta el 4 de junio de 2026 para registrar su correo mediante:

• Escritura pública (representante legal o apoderado general), o

• Protocolización de acta de asamblea de socios.

  
  

Esta modificación requiere publicación en La Gaceta.

Agente residente eliminado

La figura queda sin efecto. Su inclusión será considerada un error registral.

Sin timbres ni derechos

Si solo se registra el correo, no se pagan timbres ni derechos. Sí aplica si hay otras reformas.

Importante

A partir del 5 de junio de 2026, el Registro rechazará cualquier trámite de sociedades que no hayan inscrito su correo.

New Corporate Email Requirement in Costa Rica

Starting June 4, 2025, Law 10.597 and Directive DPJ-002-2025 come into force, requiring all corporations in Costa Rica to register an official email address for legal notifications.

• New corporations

All incorporation deeds must include a valid email address. Omitting it is a registration defect.

• Existing corporations

Have until June 4, 2026 to register their email via:

• A public deed signed by the legal representative or general attorney, or

• A notarized shareholders’ meeting minutes.

  
  

This change must be published in La Gaceta.

Resident agent eliminated

This role is now obsolete. Including it will be treated as a registration error.

No taxes or fees

If only the email is being added, no registry fees apply. Other amendments do incur charges.

Important

As of June 5, 2026, the Registry will reject all filings from corporations that fail to comply.
